License Agreement for Otomo Excel Activities Package
By using the Excel Activity Package ("Package"), you agree to the terms and conditions set forth in this license agreement.
1. Grant of License
a. Free Version: Subject to the terms and conditions of this Agreement, Otomo Solutions hereby grants you a limited, non-exclusive, non-transferable license to use the Free Version of the Excel Activity Package solely for the purpose of developing, testing, and deploying automation solutions within the UiPath ecosystem.
b. Advanced Version: Subject to the terms and conditions of this Agreement and payment of the applicable fee, Otomo Solutions hereby grants you a limited, non-exclusive, non-transferable license to use the Advanced Version of the Excel Activity Package solely for the purpose of developing, testing, and deploying automation solutions within the UiPath ecosystem.
2. Restrictions
a. You shall not distribute, sublicense, lease, rent, loan, or otherwise transfer the Package or any portion thereof to any third party.
b. You shall not modify, adapt, translate, or create derivative works based upon the Package.
c. You shall not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code for the Package, except to the extent permitted by applicable law.
3. Ownership
Otomo Solutions retains all right, title, and interest in and to the Package, including all intellectual property rights therein. This Agreement does not convey to you any rights of ownership in or related to the Package, except for the limited license rights expressly granted herein.
4. Support and Maintenance
a. Free Version: Otomo Solutions shall provide best-effort support services for the Free Version of the Package.
b. Advanced Version: Otomo Solutions shall provide support services for the Advanced Version of the Package as described in the Service Level Agreement (SLA).
5. Warranty Disclaimer
THE PACKAGE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OTOMO SOLUTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
6. Limitation of Liability
IN NO EVENT SHALL OTOMO SOLUTIONS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE PACKAGE, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, EVEN IF OTOMO SOLUTIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OTOMO SOLUTIONS'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR THE ADVANCED VERSION OF THE PACKAGE.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Austria, without regard to its conflict of law principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between you and Otomo Solutions regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral, between you and Otomo Solutions regarding such subject matter.
